TE Connectivity should acquire TTM Technologies.
A buy-side case to own the printed-circuit-board supply chain: vertical integration into the largest PCB supplier to the US military, financed 70% cash and 30% stock at a 22.5% premium.
- Locks in defense supply. TTM is the largest PCB supplier to the US military and a top North American maker; owning it secures aerospace and defense sourcing.
- Platform fit. TTM's HDI, RF, and flexible PCB technology bolts onto TE's sensor and connector platform for a vertically integrated offering.
- Margin through integration. Internalizing parts TE already buys (roughly $2 down to $1 per unit) lifts gross margin and cuts vendor count and downtime.
- Tax arbitrage. TE's Ireland domicile (~12.5%) routes TTM earnings through a lower-tax structure, boosting post-tax free cash flow.
Total synergy PV of $351.1M equals 14.3% of enterprise value, on a conservative ~$25M annual run-rate (about 1.9% of TTM revenue).
